Please read these Terms and Conditions of Use ("Terms") carefully before using the
website located at www.shopfabbriusa.com (the "Site"), operated by Fabbri USA
1905 LLC (“Fabbri USA”, “we,” “us,” or “our”).
By accessing or using the Site in any manner, you ("User," "you," or "your") agree to
be bound by these Terms. If you do not agree to all of these Terms, you may not
access or use the Site. These Terms constitute a legally binding agreement between
you and Fabbri USA.

who access or use the Site. By using the Site, you represent that you are at least 18

4.1 Fabbri USA Content

compilations, software, and the selection and arrangement thereof (collectively,
"Content") — are owned by Fabbri USA, its licensors, or other content providers and
are protected by United States and international copyright, trademark, patent,
trade secret, and other intellectual property laws.
4.2 Restrictions
You may not copy, reproduce, modify, distribute, transmit, display, perform,
publish, license, create derivative works from, transfer, or sell any Content without
the prior written consent of Fabbri USA.
4.3 Trademarks
Fabbri 1905, the Fabbri 1905 logo, and all related names, logos, product and service
names, designs, and slogans are trademarks of Fabbri USA or its affiliates or
licensors. You may not use such marks without prior written permission. All other
names, logos, and marks are the property of their respective owners.
4.4 Feedback
If you submit ideas, suggestions, or other feedback regarding the Site or our
products and services ("Feedback"), you grant us a worldwide, royalty-free,
irrevocable, perpetual license to use, reproduce, modify, and otherwise exploit that
Feedback without restriction or compensation to you.
5. User-Generated Content
5.1 Submission of Content
If the Site permits you to post, upload, submit, or otherwise make available content
(including but not limited to comments, reviews, images, or forum posts) ("User
Content"), you retain ownership of any intellectual property rights you hold in that
User Content. However, by submitting User Content, you grant Fabbri USA a
worldwide, royalty-free, non-exclusive, sublicensable license to use, copy,
reproduce, modify, adapt, publish, translate, distribute, display, and create
derivative works from your User Content in connection with operating and
improving the Site and our services.
5.2 Content Standards
You represent and warrant that your User Content: (a) is accurate and not
misleading; (b) does not violate these Terms or any applicable law; (c) does not
infringe any third-party intellectual property, privacy, publicity, or other rights; (d)
is not defamatory, obscene, offensive, or harmful; and (e) does not contain any
viruses or malicious code.
5.3 Monitoring and Removal
We have the right — but not the obligation — to monitor, edit, or remove any User
Content at our sole discretion and for any reason, including content that we
determine violates these Terms or is otherwise objectionable. We take no
responsibility and assume no liability for any User Content posted by you or any
third party.

BASIS. FABBRI USA PROVIDES NO WARRANTY OR GUARANTEE IN CONNECTION

WAY OF EXAMPLE, THAT IT WILL ALWAYS BE AVAILABLE, WITHOUT
INTERRUPTION OR ERRORS IN FUNCTIONING, THAT DEFECTS WILL BE
CORRECTED, OR THAT IT WILL BE SAFE FROM MALICIOUS PROGRAMS (SUCH AS
VIRUSES, BUGS, MALWARE OR SIMILAR), THAT IT IS MERCHANTABLE, THAT IT IS
SUITABLE FOR ANY PARTICULAR PURPOSES, OR THAT (EXCEPT AS EXPRESSLY

10. Indemnification
You agree to defend, indemnify, and hold harmless Fabbri USA and its affiliates,
licensors, service providers, employees, agents, officers, directors, and successors
from and against any and all claims, liabilities, damages, judgments, awards, losses,
costs, expenses, or fees (including reasonable attorneys' fees) arising out of or
relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of
the Site; (d) your violation of any third-party rights, including intellectual property,
privacy, or publicity rights; or (e) your violation of any applicable law.
11. Choice of Law and Forum.
The laws of the State of New York (without giving effect to its conflicts of law
principles) govern all matters arising out of or relating to these Terms of Use,
including, without limitation, their validity, interpretation, construction,
performance, and enforcement. All legal proceedings arising out of or in connection
with these Terms of Use shall be brought solely in the City of New York, State of
New York and you consent to personal jurisdiction and venue in those courts.
12. Termination
We reserve the right to suspend or terminate your access to the Site at any time,
with or without notice, for any reason, including but not limited to your violation of
these Terms. Upon termination, your right to use the Site will immediately cease.
All provisions of these Terms that by their nature should survive termination —
including, without limitation, ownership provisions, warranty disclaimers,
indemnification, and limitations of liability — shall survive termination.
13. General Provisions
The headings used in this agreement are for reference purposes only and do not
have contractual or binding effect.
If any provision herein is held invalid or unenforceable for any reason, the
remaining provisions of these Terms of Use will not be affected. In such event, the
invalid or unenforceable provision will be replaced by a provision that comes
closest to the original intent of the invalid or unenforceable provision or will be
modified to conform to the most expansive permissible reading under the law
consistent with the intention of the invalid or unenforceable provision.
The terms and conditions set forth herein (and in the relevant Site Policies)
constitute the entire agreement and understanding between you, the user, and
Fabbri USA with respect to the subject matter set forth in the Site and/or Services
and supersede all prior or contemporaneous communications or proposals,
whether written or oral, and supersede all contrary representations contained in
the Site and/or Services, including but not limited to any statements of policy or
answers to frequently asked questions.
4. Fabbri USA’s waiver of any provision of these Terms of Use, failure to insist on
strict performance of any term herein or failure to take advantage of any of its
rights with respect will not operate to excuse performance or waive any such right
to require strict performance at any future time.
